These Terms & Conditions (“Terms”) govern your access to and use of FNA’s website, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

 

1. Definitions

●       Account: A user profile created to access certain features of the Services.

●       Content: All text, images, product information, videos, graphics, logos, and data displayed on the Services, including User Content.

●       Order: A purchase request placed by a user for FNA products through the Services.

●       User Content: Any content submitted, posted, uploaded, or otherwise provided by you (e.g., reviews, photos, recipes, comments).

 

2. Eligibility & Account Responsibilities

●       You represent that you are at least 18 years old and legally capable of entering into binding contracts under the laws of Bangladesh.

●       You agree to provide accurate, current, and complete information when creating an Account and to update such information promptly.

●       You are responsible for all activities that occur under your Account and for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorized use.

●       FNA may refuse, suspend, or terminate any Account (or access to the Services) at any time, with or without notice, if we believe you have violated these Terms or applicable law.

 

3. Permitted Use & License

●       FNA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non‑commercial purposes.

●       You agree not to: (a) copy, reproduce, frame, mirror, or publicly display any part of the Services without written consent; (b) modify or create derivative works; (c) reverse engineer or attempt to extract source code; (d) access the Services via automated means (bots, scrapers) without permission; (e) introduce malware or harmful code; (f) circumvent security features.

 

4. Product Information, Specifications & Nutritional/Allergen Notice

●       Product descriptions, weights, cut styles, yield after cleaning, and images are provided for general guidance. Natural variability in seafood may lead to differences between items delivered and the images/descriptions.

●       Nutritional values, if displayed, are approximate and may vary by species, season, feed, and processing. They are not a substitute for professional dietary advice.

●       Allergen advisory: Seafood may contain shellfish or fish allergens. Cross‑contact can occur during handling and processing. If you have allergies, please exercise caution and contact us for more information before ordering.

 

5. Pricing, Taxes & Availability

●       Prices are listed in Bangladeshi Taka (BDT) and are subject to change without prior notice. Promotional pricing may be time‑bound and subject to eligibility.

●       While we strive for accuracy, products or Content may contain typographical errors, inaccuracies, or omissions (including pricing, availability, or descriptions). We reserve the right to correct or update information and to cancel or refuse Orders placed based on inaccurate information.

●       Applicable taxes, fees, and charges will be added at checkout where required by law.

 

6. Orders, Acceptance & Payment Authorization

●       Placing an Order constitutes an offer to purchase under these Terms. All Orders are subject to acceptance by FNA. We may accept, partially accept, or reject any Order at our sole discretion (e.g., suspected fraud, stock constraints, regulatory reasons).

●       You authorize FNA and its payment processors (cards, mobile financial services, banks, gateways) to charge your selected payment method for Order totals and applicable taxes/fees.

●       If a transaction is flagged for fraud, we may hold, cancel, or request verification before fulfillment.

Intentionally Omitted: Delivery, Return & Refund, and Cancellation terms are governed by separate policies and are excluded from this document at the client’s request.

 

7. Promotions, Discount Codes & Vouchers

●       Promotional offers, vouchers, or coupon codes (“Promotions”) are single‑use, non‑transferable, not redeemable for cash, and may be time‑limited. Additional terms may apply and will prevail in case of conflict.

●       FNA may modify, suspend, or withdraw Promotions at any time, with or without notice, where permitted by law.

 

8. User Content: Reviews, Ratings & Submissions

●       By submitting User Content, you grant FNA a worldwide, perpetual, irrevocable, royalty‑free, sublicensable license to use, reproduce, adapt, publish, translate, distribute, publicly perform/display, and create derivative works in any media now known or later developed.

●       You represent and warrant that your User Content: (i) is accurate and lawful; (ii) does not infringe any third‑party rights (including privacy, publicity, copyright, trademark); (iii) does not contain defamatory, obscene, hateful, or otherwise objectionable material; and (iv) does not contain viruses or harmful code.

●       FNA may monitor, edit, or remove User Content at its discretion where it violates these Terms or applicable law.

 

9. Third‑Party Services & Links

●       The Services may contain links to or integrate with third‑party websites, tools, or services. FNA does not control, endorse, or assume responsibility for third‑party content, policies, or practices. Your use is at your own risk and may be governed by separate terms.

 

10. Intellectual Property

●       The Services and all Content (excluding your User Content) are the exclusive property of FNA or its licensors and are protected by Bangladeshi and international intellectual property laws.

●       No license or right is granted to use FNA’s trademarks, trade dress, or logos without our express written consent.

●       If you believe material on the Services infringes your IP, notify us at Foodnetworkagrobd@gmail.com with sufficient detail (work identified, alleged infringing URL, your contact information, and a good‑faith statement of ownership).

 

11. Acceptable Use & Prohibited Conduct

You agree not to use the Services to: - Violate any law or regulation of Bangladesh; - Infringe IP, privacy, or publicity rights; - Harass, threaten, defame, or abuse any person; - Impersonate any person or misrepresent your affiliation; - Engage in spamming, phishing, scraping, or data harvesting; - Upload malware or attempt to interfere with security features; - Collect or track personal information without lawful basis and consent.

 

12. Security; System Integrity

●       You must not attempt to probe, scan, or test the vulnerability of the Services or breach security/authentication measures.

●       You must not overload, flood, or disrupt the infrastructure supporting the Services.

●       We implement reasonable technical and organizational measures; however, we cannot guarantee absolute security.

 

13. Disclaimer of Warranties

●       The Services and all Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, FNA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non‑infringement.

●       FNA does not warrant that the Services will be uninterrupted, timely, secure, or error‑free, or that defects will be corrected.

 

14. Limitation of Liability

●       To the maximum extent permitted by law, FNA and its directors, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business interruption, arising out of or related to your use of (or inability to use) the Services.

●       In all cases, FNA’s aggregate liability shall not exceed the greater of: (i) BDT 5,000; or (ii) the amount actually paid by you to FNA for the Order giving rise to the claim.

 

15. Indemnification

You agree to indemnify, defend, and hold harmless FNA and its affiliates, officers, employees, agents, and partners from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of the Services; (c) your violation of any law or third‑party rights; or (d) your User Content.

16. Force Majeure

FNA shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, epidemics/pandemics, war, strikes, labor disputes, embargoes, governmental orders, interruptions of utilities, or telecommunications failures.

 

17. Compliance with Laws & Regulatory Disclaimers

●       You agree to use the Services in compliance with all applicable laws of Bangladesh.

●       Food safety standards, labeling, and handling practices are aligned with prevailing regulations to the best of our knowledge; however, specific compliance statements (e.g., facility certifications) may be provided separately upon request.

 

18. Electronic Communications & Notices

●       By using the Services or sending emails/SMS to us, you consent to receive communications from FNA electronically (email, SMS, in‑app messages, or website notices).

●       Legal notices to FNA must be sent to Foodnetworkagrobd@gmail.com and will be deemed received upon confirmation of delivery/read or two business days after dispatch, whichever is earlier.

 

19. Changes to the Services & Terms

We may modify, update, or discontinue any part of the Services and may revise these Terms at any time. Revisions are effective upon posting. Your continued use after posting constitutes acceptance of the revised Terms.

 

20. Governing Law, Venue & Dispute Resolution

●       These Terms are governed by the laws of Bangladesh.

●       The parties shall attempt to resolve disputes amicably within 30 days of written notice. Failing amicable resolution, disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

 

21. General Provisions

●       Severability: If any provision is held invalid, the remaining provisions remain in full force and effect.

●       No Waiver: Failure to enforce any right or provision is not a waiver of such right or provision.

●       Assignment: You may not assign or transfer your rights or obligations without FNA’s written consent. FNA may assign its rights/obligations in connection with a merger, acquisition, or sale of assets.

●       Entire Agreement: These Terms constitute the entire agreement between you and FNA regarding the Services and supersede prior agreements on this subject.

●       Interpretation: Headings are for convenience only and do not affect interpretation.

●       Language: If translated, the English version controls in case of conflict.
